Amec requests BM&FBOVESPA to act to inhibit the super preferred shares |

In a letter sent to the CEO of the Brazilian Stock Exchange - BM&FBOVESPA, Edemir Pinto, the Association of Capital Market Investors – Amec – voices again its opinion about the need of an action by the stock exchange to prevent the advent of distorted governance structures, represented by the “super preferred shares”. The recent announcement of a company’s IPO with such characteristics has led the association to reinforce its position in favor of the ‘one share one vote’ concept as a tool to align the interests and reduce the risks facing minority shareholders. |

Management Compensation workshop reaches maximum capacity |

Amec – the Association of Capital Market Investors – held in São Paulo, on November 17th, the most wanted and discussed workshop of its 10-year history: Management Compensation. Investors, members of Boards of Directors, academics and journalists shared experiences, questionings and understandings about the topic. |

Continuing with the works of the second stage of the Public Hearing to discuss the new proposal on the rules of the evolution process of the special segments (Novo Mercado and Level 2) with listed companies, investors, intermediaries and market’s agents, the team of the Brazilian Stock Exchange - BM&FBOVESPA – will be participating, for the third time, in the meeting of Amec’s Technical Commission, to be held on December 14th in the association’s headquarters. The meeting is open to members only. |

The CEO of the Association of Capital Market Investors – Amec, Mauro Rodrigues da Cunha, participated as a speaker in the seminar about the 40 years of the Laws 6.404/76 and 6.385/76 (Corporate Laws). The event was organized by the Brazilian Stock Exchange in São Paulo, on November 28th. Cunha was invited to take part in “The Market” panel, which addressed the point of view of companies, intermediaries and investors about the challenges to be overcome. |

In response to Amec, CVM addresses the distortion of business purposes |

The Brazilian Securities and Exchange Commission – CVM – answered to the President Letter 12/2016 sent by the Association of Capital Market Investors – Amec, in which it voices its members’ concern about companies that operate or make investments unaligned with their business purposes. In the answer, the regulator explains that concrete cases can be analyzed in the sphere of the Risk-Based Supervision (SBR) system of the Office of the Superintendent of Companies – SEP, and highlights the importance of stakeholders turning to CVM whenever they deem it necessary. |

Code of Best Practices of Corporate Governance and the much-awaited evolution of the Brazilian capital market |

After two years of intense work, the Code of Best Practices of Corporate Governance – Listed Companies was launched on November 16th, 2016. On the same date, the final version of the code was officially delivered to the Brazilian Securities and Exchange Commission - CVM.
The conceiving of a code about governance for all listed companies started in the sphere of the Grupo de Trabalho Interagentes - GT Interagentes (Interagentes Working Group), which gathers 11 associations related to the capital market and has CVM and BNDES (Brazilian National Bank for Social and Economic Development) as observers. |
