Calpers and BlackRock’s executives join Brazilian professionals and the Minister of the
High Court of Justice to debate scenarios in the 2015 Amec Investor Forum
Continuing with its agenda of events to discuss relevant topics that affect the lives of investors and institutions in the financial market, the Brazilian Association of Capital Market Investors (Amec) promotes the 2015 Amec Investor Forum, to take place at Inspers’ headquarters, in São Paulo, on May 28.
Entitled “Form X Essence – The Challenges of Investing in Brazil,” the Investor Forum reflects the evolution of Amec in its role collaborating to concrete solutions for the challenges facing the Brazilian capital market and minority shareholders. Mauro Rodrigues da Cunha, Amec's CEO, points out that prominent foreign executives and Brazilian professionals were invited for this year’s edition, providing even more quality and content to the debates. |

Association releases 2014 Board of Directors & Annual Report |

|
|
Amec 2014 Board of Directors & Annual Report was presented to its members on the same day the association held its Annual General Meeting, on April 23. The report introduces Amec’s work as a convergence point of Petrobras’ minority shareholders for the election of representatives to the company’s Board of Directors and Conselho Fiscal, the association’s legally-founded position against that of the Brazilian Securities and Exchange Commission – in Oi’s restructuring case, as well as the important contributions to CVM’s public hearing to regulate the distance voting, to come into force in 2016 Shareholders’ Meetings. |

ICGN publishes viewpoint challenging differential voting rights |

|
The International Corporate Governance Network (ICGN) – association that represents US$26 trillion in assets under management–, issued a report (https://www.icgn.org/images/28_April_2015_ICGN_publishes_Viewpoint_challenging_differential_voting_rights.pdf) in April, in which it strongly criticizes the recent initiatives on the introduction of differential ownership rights for shareholders that own shares for a long time. The proposals on the so-called loyalty shares were introduced in France (Florange Act, 2014) as well as in other countries, and they have been under discussion in the debates about the European Shareholder Rights Directive. |

BM&FBOVESPA announces proposals to enhance the governance of state-run companies, to be submitted to a closed hearing |

Outlined by the Exchange’s regulation team, the proposals have been grouped into four courses of action: transparency, internal control practices and structures, management composition, and obligations of the controlling stakeholders. The discussions about the document continue in May. |
