New government’s capital market group excludes Amec and other institutions
|
In the beginning of June, regulators linked to the government announced a group named Initiative of Capital Markets (IMK – Iniciativa do Mercado de Capitais) that replaces the Working Group on Capital Markets (GTMK - Grupo de Trabalho do Mercado de Capitais). Associations such as Amec (the Association of the Capital Market Investors), IBGC (the Brazilian Institute of Corporate Governance), the B3 and the Brazilian National Bank for Social and Economic Development (BNDES), among others, were not included in the IMK. “The new initiative excludes relevant points previously addressed by the GTMK and it is important to share this fact with our members,” said Amec’s CEO, Mauro Rodrigues da Cunha. New CVM’s regulation favors the reparation of damages to minority shareholders
|
The payment of damages to investors is one of the priorities of the Instruction 607, published by the Brazilian Securities and Exchange Commission (CVM) on June 17. The regulation also addresses the punishment of illegal activities and the possible reduction of penalties or even the extinction of proceedings against individuals and corporations. Read more

Gol’s takeover of Smiles fails after disagreement about valuations
|
For the second time, the airline Gol tried to take over its mileage subsidiary Smiles, in which it owns a 52.6% stake, but the deal failed because the parties did not reach an agreement on the valuations of the businesses. Gol’s Executive VP and CFO, Richard Lark, said to the Valor Econômico newspaper that the holding still intends to take over the subsidiary. Read more

Civil organizations bar political nominations in regulatory agencies
|
The new law on regulatory agencies, approved on June 25, establishes that politicians and their relatives are not allowed to be nominated to participate in the regulators’ boards of directors or joint boards of directors. The bar on such nominations was not excluded from the Law 13,848 thanks to the joint initiative of organizations representing the civil society, among which Amec and the Brazilian Institute of Corporate Governance (IBGC), which put pressure on the Senate.
