Suzano Papel e Celulose wins the 2017 Amec Corporate Events Award
Suzano Papel e Celulose was the winner of the 2017 Amec Corporate Events Award, given by Amec – the Brazilian Association of Capital Market Investors. The nomination made by the association represents the recognition of minority investors as to the unification of Suzano’s shares into a single share class during the migration of the company to the Novo Mercado, B3’s highest corporate governance level.
The Amec Corporate Events Award is aimed to identify corporate events that have a positive impact on the capital market. The winner is chosen by the association’s members, who vote by secret ballot. Today, Amec gathers approximately 60 institutional, local and foreign investors.
“The Amec Corporate Events Award is designed to collaborate with the progress and improvement of our capital market’s practices – primarily focused on events and situations in which companies can effectively make a difference in the treatment of shareholders and, accordingly, in the way they deal with the return on their capital,” explains Mauro Rodrigues da Cunha, Amec CEO.
The unification of Suzano’s stock – all preferred shares were converted into ordinary ones – is one of the benefits granted to the company’s shareholders as part of its migration to the Novo Mercado, completed on November 10. Additionally, all shareholders now have tag-along rights in the event a majority shareholder decides to sell his stake and can vote on the company’s decisions.
The migration was unanimously approved by Suzano’s shareholders with no dilution of the minority shareholders’ share value and no premium paid to the controlling shareholder, unlike other migrations in the mentioned listing segment. That is, each preferred share (A or B) was converted into one ordinary share.
“Our role is to contribute to the transformation of the society and building of a better country. We are willing to listen to and generate value to all our stakeholders, as it happened with our minority shareholders in the migration of our company to the Novo Mercado,” states Marcelo Bacci, Suzano CFO and Investor Relations Director. “The fact that we won the Amec Corporate Event Award shows that these values are also supported by the society, represented by the investors in this case,” the executive added.
The 2017 Amec Corporate Event Award “ceremony” took place in the association’s headquarters, in São Paulo, and was attended by representatives of Suzano Papel e Celulose’s Management Board and Amec’s Management Board and Board of Directors.
